These terms are between you and Topsail Software Limited, the company behind Qualifico (“Qualifico”, “we”, “us”). Our full company details, contact information and the date these terms were last updated are at the end of this document (section 28).
1. What these terms cover
These terms apply to:
the Qualifico iOS app;
the Qualifico web app;
the Qualifico website at qualifico.app, including its forms and waitlists;
the related services and content we provide (together, the “Services”).
By creating an account or using the Services, you agree to these terms. Acceptance can happen electronically: creating an account, ticking a box, starting a subscription or using the Services all count. If you do not agree with these terms, please do not use the Services.
Two other documents work alongside these terms:
our Privacy Policy (qualifico.app/privacy) explains how we handle personal data and how we use cookies and similar technologies;
our Content Standards (qualifico.app/contentstandards) explain the rules for content and behaviour on Qualifico, and how we look after the quality of our own content.
If you breach the Content Standards, we may take proportionate action, and serious or repeated misuse of the Services may lead to restriction, suspension or termination as set out in section 22.
If your employer provides your access, a separate agreement between us and your employer covers billing and seat management. These terms still apply to your own use of Qualifico.
If you subscribe through Apple’s App Store, Apple’s own terms also apply to that purchase. If you subscribe on the web, Stripe processes the payment under its own terms.
2. Eligibility and age
Qualifico is a professional study platform intended for people aged 18 and over. By creating an account you confirm you are 18 or older. If we become aware that an account belongs to someone under 18, we may suspend or close it.
3. Your account
You need an account to use most features. You can sign up with an email address and password, or sign in with Apple, Google or Facebook.
You agree to:
provide accurate information when you sign up;
keep your sign-in details secure;
use your account yourself and not share it with anyone else.
You are responsible for activity that happens on your account. If you think someone else has accessed it, tell us at info@qualifico.app and we will help.
4. Ways to access Qualifico
There are two ways to get paid access:
a personal subscription, which you buy yourself through the App Store or on our website or web app;
employer-funded access, where your employer pays for your seat (see section 7).
Some features may be available free of charge. What is included in free and paid access can change over time as the product develops. We always show you what a subscription includes before you buy it.
5. Personal subscriptions
Subscriptions are per qualification or package. A subscription generally covers a specific qualification, exam, tier or access package, and can differ by billing route. Subscriptions are billed monthly or annually depending on the plan you choose. What a subscription includes is always shown before you buy. Please avoid buying duplicate access for the same qualification or access package. If you think you have duplicate access, for example through both a personal subscription and employer-funded access, contact us and we will do our best to help.
App Store purchases. If you subscribe inside the iOS app, Apple handles the payment. Subscriptions renew automatically until cancelled. The price, renewal period and any free trial or introductory offer are shown before you confirm the purchase. You can manage or cancel the subscription at any time in your App Store account settings.
Web purchases. If you subscribe on the web, Stripe processes the payment on our behalf. Subscriptions renew automatically until cancelled. You can manage or cancel the subscription from your account settings in the web app, or by emailing us.
Free trials and introductory offers. We may offer free trials or introductory offers from time to time, and they can vary by qualification, tier, offer or platform. The trial length, the price that follows and the billing period are always shown before you start. Unless you cancel before the trial or introductory period ends, it converts into a paid recurring subscription, and your access then continues until you cancel or your paid period ends.
Price changes. We may change subscription prices from time to time. If a price change affects an active subscription, we will tell you in advance and the new price will only apply from your next renewal, so you can cancel first if you prefer. App Store price changes are also subject to Apple’s own notification and consent process.
6. Cancelling and refunds
You can cancel a subscription at any time. Cancelling stops the next renewal, and your access continues until the end of the period you have already paid for.
App Store subscriptions. Cancellation and refunds for App Store purchases are handled by Apple under Apple’s own processes. You can request a refund from Apple at reportaproblem.apple.com.
Web subscriptions. You can cancel from your account settings in the web app or by emailing info@qualifico.app. If something has gone wrong with a purchase, contact us and we will do our best to help.
Payments are generally non-refundable, and we do not provide refunds for unused time in a billing period, unless a refund is required by law, required under the rules of the relevant payment provider, or agreed by us at our discretion.
Nothing in these terms affects your statutory rights as a consumer.
7. Employer-funded access
If your employer provides your access to Qualifico:
you activate your access using the route your employer has set up, usually your work email address or an activation link;
you must be genuinely eligible for the access your employer is paying for, and you must not share it with anyone else;
employers may be charged for registered seats, so for billing and account administration your employer may see seat and administration information, such as who is registered for employer-funded access, which qualifications are assigned and whether access is in place;
your employer does not receive your individual scores, answers, written responses, topic performance, study history or individual CPD detail;
we may provide employers with aggregated, organisation-level reporting, such as total or average study time across their team, the number of CPD reports generated, the most commonly selected qualifications or overall engagement summaries. These are administrative and aggregate views, not individual study reporting.
If your employer’s arrangement with us ends, or your employer removes your seat, your employer-funded access ends. Your account and study history remain yours, and you can continue with a personal subscription if you wish.
The commercial relationship with your employer, including pricing, invoicing and seat numbers, is governed by our agreement with them, not by these terms.
8. Entitlements and access changes
What you can access depends on your subscription or seat status. When a subscription or seat ends, paid features stop at the end of the paid period. We may occasionally need to correct entitlement errors, for example where a purchase was refunded or an activation was made in error. If you think your access is wrong, contact us and we will look into it.
9. Studying with Qualifico
When you join, you choose the qualifications and exams you want to study for. Depending on the qualification, the Services may include practice questions, mock exams, flashcards, written-response questions, explanations, study plans, progress tracking, predictions, weekly reports and an AI tutor.
Content coverage varies by qualification, and we add, update and occasionally retire content and features as syllabuses and the product evolve. Some features are available only on certain platforms, qualifications, exams, tiers or access routes. For example, some CPD, written-response or reporting features may be available in the web app before they are available in the iOS app.
Scores, predictions and insights are estimates generated from your study activity. They are there to guide your studying. They are not a promise about how you will perform in a real exam.
10. CPD records
If you use our CPD features, you can build records of your study activity and export CPD statements.
CPD records are generated from your activity in Qualifico and from information you enter. You are responsible for the accuracy of anything you submit to a professional body.
Different professional bodies have different CPD rules. We do not guarantee that any particular body will accept Qualifico CPD records, so check your body’s requirements.
Keep your own copies of exported CPD statements. CPD records are part of your account data and are deleted when your account is deleted.
11. What we do not promise
We are an educational study tool and we want to be straight with you about the limits of that:
we do not guarantee that you will pass any exam or achieve any grade;
we do not guarantee any career, employment or salary outcome;
we do not guarantee that any particular qualification, exam sitting or syllabus will remain available or unchanged; exam providers control those;
we are not affiliated with or endorsed by the professional bodies whose qualifications we support, unless we say otherwise;
we do not guarantee that any professional or regulatory body will recognise study completed on Qualifico or accept CPD records exported from it;
the Services do not provide professional advice of any kind, including legal, financial, tax, investment or medical advice;
content can contain errors. We work hard on quality (see our Content Standards) but you should rely on official provider materials for definitive syllabus rules and exam regulations.
12. AI features
Some features use artificial intelligence, including the AI tutor, explanations, written-response marking and feedback, the commentary in weekly reports, and other AI-assisted study, feedback, reporting or personalisation features we may introduce.
AI-generated output can be incomplete, imperfect or wrong, even when it sounds confident. Treat it as study guidance, not as a definitive answer or a prediction of how a real examiner would mark your work. If something matters, check it against official materials. Because AI output is guidance, an imperfect answer does not by itself mean the Services are faulty. If you spot a poor response, please report it (Profile, then Feedback) so we can improve.
Please do not put sensitive personal information, other people’s personal data or confidential third-party material into the AI tutor. It does not need any of that to help you study. Our Privacy Policy explains how data is handled in AI features, including that your data is not used to train AI models under our agreements with AI providers.
13. Acceptable use
Use Qualifico honestly and lawfully. In particular, you must not:
break the law or encourage anyone else to;
harass, bully, threaten or intimidate other users, or send them spam or unwanted messages;
use a username or display name that is offensive, abusive, misleading or impersonates someone else;
scrape, copy, bulk-download or extract our content, questions or data, whether manually or with automated tools, including for training AI models;
resell, sublicense, publish or redistribute our content or your access;
share your account or use someone else’s;
bypass or attempt to bypass payment, entitlements, paywalls or technical protections;
reverse engineer the app or Services, except where the law allows it;
overload, probe, disrupt or exploit the Services, or introduce malware;
use AI features in an excessive, automated or abusive way that harms the Services or other users;
cheat, or manipulate scores, streaks, leaderboards, CPD records or challenge results;
upload real exam questions or other material that breaches an exam provider’s confidentiality rules;
infringe anyone’s intellectual property or other rights.
Fair use of shared features. AI and social features run on shared systems. Normal studying, however intensive, is always fine. Where usage is excessive, automated, abusive or harmful to the Services or other users, we may restrict or rate-limit the feature involved while we sort it out.
Our Content Standards give practical detail on what is and is not acceptable.
14. Your content
You may submit content while using the Services, for example written-response answers, AI tutor messages, your display name, feedback, and in future things like comments or competition entries.
You keep ownership of your content. You give us a licence to host, store, process, display and use it as needed to provide and improve the Services, as described in our Privacy Policy. This licence lasts as long as we need it to run the Services for you.
You are responsible for what you submit. You confirm you have the rights to submit it and that it does not break the law, our Content Standards or anyone else’s rights.
If you send us ideas, suggestions or feedback about Qualifico, we can use them to improve the product without owing you anything. We appreciate them all the same.
15. Our content and intellectual property
Everything we provide through the Services is owned by us or our licensors. That includes our question banks, explanations, written-response feedback, reports, study content, software, app and website design, logos and the Qualifico brand.
We give you a personal, non-transferable right to use the Services and content for your own study. That right ends when your access ends. You may not copy, reproduce, distribute, sell or commercially exploit our content, or use it to build a competing product or dataset.
We take protecting our content seriously. We may investigate suspected misuse or unauthorised sharing of our content or of access to the Services, and where appropriate we may restrict access, require copied material to be taken down, seek payment for unauthorised commercial use, or take legal action. Where misuse involves an employer, an exam provider or a professional body, we may take appropriate steps with them where legally permitted.
Qualification names and trademarks, such as ACCA, CFA or CAIA, belong to their respective organisations. We use them to identify the exams we support, not to suggest affiliation or endorsement.
16. Social features
Qualifico includes optional social features, which may include friends, streaks, streak gifts, scoreboards, leaderboards and challenges, and may grow over time.
If you use social features, other users may be able to find you by username or display name.
Depending on your settings and the feature, your username, display name and relevant progress, such as streak status, XP, challenge scores, selected qualification or leaderboard position, may be visible to friends, leaderboard participants or other users. Where the app offers progress-sharing or privacy settings, you can use them to control some of this visibility. If you do not use social features, nothing is shared.
You are responsible for choosing a suitable username and using social features respectfully. Our Content Standards apply.
Play fair. We may monitor for irregular activity, remove or adjust scores, XP, streaks, leaderboard entries or challenge results that we reasonably believe were manipulated, and restrict social features for misuse.
Social features may change or be withdrawn as the product develops.
Other users never see your written answers, individual question history, detailed scores, CPD records or AI tutor messages.
17. Competitions and challenges
We may run challenges or competitions from time to time. Where a competition has prizes or specific entry conditions, we will publish rules for that competition when it opens, and those rules will apply alongside these terms. We may disqualify entries that involve cheating, manipulation or a breach of our Content Standards.
18. Events
We may in future run online or in-person events. If we do:
booking details, any fees and any cancellation terms will be provided when you book;
our Content Standards apply to behaviour at events;
we may refuse entry to, or remove someone from, an event where reasonably necessary for safety or conduct reasons;
if an event is photographed or recorded, we will tell you at or before the event, and where practical give you a way to opt out of appearing in the material.
19. Website forms and communications
If you fill in a form on our website, such as a waitlist, contact or employer enquiry form, we will use what you send to respond to you, as described in our Privacy Policy.
We send service and study-support messages as part of running Qualifico, such as account and security emails, onboarding reminders, weekly reports, study and streak reminders, exam-date reminders, CPD-related messages, subscription notices and important product updates. Where you have chosen a qualification or shown interest in one, we may also send guidance, content updates, event information and revision tips connected to it.
Some messages appear inside the app, and some arrive as push notifications through your device if you have enabled them. You can control push notifications in your device settings and, where available, in app settings, and you can turn categories of reminders off where the app offers that. In-app messages may still appear as part of using the service.
We send marketing emails where we have your consent or where the law allows, and you can unsubscribe from marketing emails at any time using the link in every message.
20. Availability, changes and maintenance
We work hard to keep Qualifico reliable, but we cannot promise the Services will always be available or uninterrupted. We sometimes need to carry out maintenance, and things outside our control can cause downtime.
Your equipment. You are responsible for the device, operating system, browser, internet connection and app updates needed to use the Services. We aim to support common modern devices and browsers, but we cannot guarantee the Services will work on every device, browser, operating system, network or older app version, and some features may need newer versions, supported browsers or a particular platform.
We may change, add or remove features to improve the product, meet legal requirements or keep the Services secure. If we permanently withdraw something material that you have paid for, we will give you reasonable notice where we can.
21. Third-party links and services
The Services may link to external websites and services, such as exam providers, professional bodies, app stores, payment providers, sign-in providers or event pages. Those sites and services are controlled by their own providers, and we are not responsible for their content, availability, policies or decisions, including payment decisions made by Apple or Stripe and exam, membership or CPD decisions made by providers and professional bodies. A link does not mean we endorse the destination unless we say so.
22. Suspension, termination and deleting your account
Your choices. You can stop using Qualifico at any time. You can delete your account in the app (Profile, then Settings) or by emailing info@qualifico.app. Our Privacy Policy explains what happens to your data when you delete your account. Deleting your account does not automatically cancel an App Store subscription; cancel that in your App Store settings too.
Our rights. We may suspend or restrict your account while we investigate suspected serious misuse, and we may terminate access for a serious breach or repeated breaches of these terms. For less serious problems, including most Content Standards issues, we will normally warn you and give you a chance to put things right first. Where we can, we will tell you why we have acted.
If we terminate your access for a serious or repeated breach, no refund is owed except where the law requires one. If we change, withdraw or discontinue a feature or the Services, your rights are limited to what the law requires or what we choose to offer at our discretion. Your statutory rights are not affected.
23. Our responsibility to you, and yours to us
We provide the Services with reasonable care and skill. If we breach these terms or fail to use reasonable care and skill, we are responsible for loss or damage you suffer that is a foreseeable result of that.
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be excluded or limited under the law of England and Wales. Nothing in these terms affects your statutory consumer rights.
We are not responsible for:
exam results, marking decisions or admission, membership or CPD decisions made by exam providers or professional bodies;
losses caused by relying on study content or AI output without checking official materials, where checking would have been reasonable;
problems caused by services we do not control, such as the App Store, Stripe’s payment network, your device or your internet connection;
events outside our reasonable control;
business losses. The Services are provided for your personal study; if you use them in a business context, we are not liable for loss of profit, business, contracts or business opportunity.
Other than for the matters that cannot be limited by law, our total liability to you in connection with the Services is limited to the amount you paid us for the relevant qualification or access package for the billing period in which the claim arose, or £40, whichever is higher.
Your responsibility to us. If you use the Services as a business or organisation, or otherwise not as an ordinary consumer, you agree to compensate us for claims, losses and costs that arise because of your misuse of the Services, your breach of these terms, your infringement of someone else’s rights, unauthorised sharing, scraping or commercial use of our content, or content you submit. The same applies to misuse of employer-funded access, such as sharing seats or activating access you are not eligible for.
If you use the Services as an ordinary consumer, that paragraph does not apply to you, but you remain responsible for losses you cause us through unlawful use, deliberate misuse, infringement of someone else’s rights or unauthorised commercial exploitation of our content. Nothing in this section affects your statutory rights.
24. Transferring these terms
Your account, subscription, employer seat and rights under these terms are personal to you. You cannot transfer, sell, share, sublicense or assign them to anyone else.
We may transfer our rights and obligations under these terms to another organisation, for example as part of a business sale, merger, restructuring, financing or a transfer of the Services. Your rights under these terms and your statutory rights will not be reduced, and we will tell you if a transfer materially affects you.
25. Changes to these terms
We may update these terms as Qualifico develops. The date at the top of this document shows when they last changed. If we make a material change, we will tell you in the app or by email before it takes effect. If you keep using the Services after a change takes effect, the updated terms apply. If you do not agree with a change, you can stop using the Services and cancel any subscription before it takes effect.
26. A few final points
If a court finds part of these terms invalid or unenforceable, the rest still applies.
If we do not enforce a right straight away, we can still enforce it later.
These terms, together with the Privacy Policy, the Content Standards and the details we show you when you buy, are the agreement between us for the Services. This does not exclude anything the law requires us to tell you, or any rights the law gives you.
Terms accepted electronically are just as binding as terms signed on paper.
27. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, except where mandatory consumer law gives you rights that cannot be excluded.
